Acceptance of Terms

By accessing this website or using Codeintel's services, you agree to comply with and be bound by these Terms & Conditions, our Privacy Policy, and any applicable service agreements or statements of work (SOWs).

If you are entering into this agreement on behalf of a business or organization, you represent that you have authority to bind that entity.

Description of Services

Codeintel provides digital technology and marketing services including but not limited to:

✓ Software engineering and application development
✓ Martech platforms and digital marketing solutions
✓ SEO, AEO, and Generative Engine Optimization (GEO) services
✓ Hosting and infrastructure support
✓ Digital content management systems
✓ Marketing automation tools
✓ Consulting and technology strategy

Specific services, deliverables, timelines, and fees will be defined in a Statement of Work (SOW), Service Agreement, or Proposal between Codeintel and the client.

Website Use

You agree to use this website only for lawful purposes. You may not:

✓ Use the website in violation of any applicable law or regulation
✓ Attempt to gain unauthorized access to systems or networks
✓ Distribute malware, malicious code, or harmful software
✓ Scrape or harvest website data without permission
✓ Interfere with website functionality or security

Codeintel reserves the right to restrict or terminate access for misuse.

Intellectual Property

All content on this website including text, graphics, branding, logos, software, design elements, and documentation is the property of Codeintel LLC or its licensors and is protected under intellectual property laws.

Client Content and Materials

Clients may provide materials including logos, images, text, brand assets, documents, or data. By providing these materials, the client represents that they own the rights or have permission to use them. The client agrees to indemnify Codeintel against any claims related to unauthorized use of client-provided materials.

Project Scope and Deliverables

Services provided by Codeintel are governed by the scope defined in project agreements, proposals, or Statements of Work. Any services requested outside the agreed scope may require additional fees, new agreements, or change orders. Codeintel will communicate scope changes before proceeding.

Payments and Fees

Payment terms are defined in the applicable proposal, agreement, or invoice.

Unless otherwise specified:

✓ Invoices are due within 7 days
✓ Late payments may incur additional fees
✓ Services may be paused for overdue accounts

All payments are non-refundable unless otherwise stated in writing.

Hosting and Technology Services

For clients using Codeintel hosting or managed infrastructure services:

✓ Codeintel provides commercially reasonable uptime and monitoring
✓ Clients are responsible for their own content and compliance
✓ Codeintel may perform maintenance, updates, or security actions as necessary
✓ Codeintel is not responsible for outages caused by third-party providers, internet infrastructure failures, cyberattacks, or force majeure events.

Marketing and SEO, AEI, GEO Services

Digital marketing services such as SEO, advertising, and content marketing are subject to variables outside Codeintel's control including search engine algorithm changes, platform policy changes, market conditions, and competitor activity. While Codeintel applies best practices and strategic expertise, specific rankings, traffic levels, or revenue results cannot be guaranteed.

Confidentiality

Both parties agree to maintain confidentiality regarding proprietary or sensitive information shared during a project. Confidential information may not be disclosed without written consent except where required by law.

Limitation of Liability

To the maximum extent permitted by law, Codeintel shall not be liable for indirect damages, loss of profits, loss of revenue, business interruption, or data loss. Total liability for any claim shall not exceed the total amount paid by the client for the services giving rise to the claim.

13. Third-Party Services

✓ Codeintel may integrate or recommend third-party services such as hosting providers, software platforms, marketing tools, APIs, plugins, and payment processors.
✓ Codeintel is not responsible for the performance, availability, or policies of third-party providers. Clients are subject to the terms and policies of those providers.

Indemnification

You agree to indemnify and hold harmless Codeintel, its employees, contractors, and partners from any claims, damages, or legal costs resulting from your misuse of our services, violation of these Terms, or use of unauthorized or infringing materials.

Termination

Either party may terminate services according to the terms defined in the applicable service agreement. Upon termination:
✓ Outstanding balances remain payable
✓ Access to services may be suspended
✓ Codeintel may provide final deliverables as agreed

Disclaimer of Warranties

✓ Services and website content are provided "as is" and "as available."
✓ Codeintel makes no warranties regarding website availability, service interruptions, performance outcomes, or compatibility with third-party systems.

Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the United States and the State of Nevada, without regard to conflict of law principles. Any disputes shall be resolved in the appropriate courts within that jurisdiction.

Changes to Terms

Codeintel may update these Terms from time to time. The latest version will always be posted on this page with the updated effective date. Continued use of the website constitutes acceptance of any changes.
